Agreement on valuation is a key issue in the deal terms of angel investments. Valuation of early stage and especially pre-revenue companies is particularly tricky because traditional valuation methods used for later stage companies can’t be applied. Either over-valuing or under-valuing a company in early rounds can create problems for early stage investors and entrepreneurs if a follow on round is expected.
